1. Your Agreement

By visiting this Website and/or using the Services in any manner, you agree that you have read and agreed to be bound by these Terms and Conditions. If you do not unconditionally agree with all parts of these Terms and Conditions, you have no right to use this Website and/or the Services. The use of this Website and/or the Services is wholly conditional upon your agreement to all of these Terms and Conditions.

2. Changes of Terms and Conditions

We reserve the right to change or modify any part of these Terms and Conditions at our sole discretion and at any time without further notice. It is your responsibility to visit this page from time to time to review these current Terms and Conditions to which you are bound. In the event that we change or modify these Terms and Conditions, we will post the changes or modifications of these Terms and Conditions on this page and will indicate at the bottom of this page the date these Terms and Conditions were last revised.

Your continued use of this Website after any such change or modifications constitutes your acceptance of the revised Terms and Conditions. If you do not agree to abide by the revised Terms and Conditions, you have no right to use or access (or continue to use or access) this Website and the Services. While we will do our best to notify our users of any changes or modifications to these Terms and Conditions, it is your responsibility to regularly check this Website to ascertain if there are any changes or modifications.

Additionally, you shall be subject to any additional terms applicable to the Services that may be posted on the page relating such Services from time to time and the Privacy Policy adopted by JDpal from time to time when using any Services. All of these additional terms are hereby completely incorporated by reference into these Terms and Conditions.

3. Accessing and Using the Service

a. Description of the Services

JDpal is an online marketplace that connects Local Palswho have experience and extensive knowledge of particular fields, issues, procedures, areas, events, or activities with Guests who are looking to find such experience and knowledge related to such fields, issues, procedures, areas, events, or activities. Through the Services, Local Pals will individually have Profiles that provide information about the Local Pal’s background, knowledge or experience, and may make themselves available to offer additional assistance to Guests at a particular location (each such service, a Session). Guests will select Local Pals (or may request that JDpal attempt to connect them to a Local Pal) to provide the Guest with a Session that is customized to what the Guest wants to experience.

b. Platform Nature of the Services

JDpal makes available an online platform for Local Pals and Guests to connect online and arrange for Sessions. JDpal is NOT an operator of tours, activities, or Sessions, nor is it a provider of tours or activities, and JDpal does not own, sell, resell, furnish, provide, manage and/or control any transportation or tour services. JDpal’ responsibilities are limited to facilitating the availability of the Services. You understand and agree that JDpal is not a part of any agreement entered between Local Pals and Guests, nor is JDpal an agent or insurer. The Services are intended to be used to facilitate the connections between Local Pals and Guests. We cannot and do not control the content contained in any Profiles and the conditions, legality or suitability of any Sessions. JDpal has no control over the conduct of Local Pals, Guests and other users of the Services or any Session. JDpal disclaims all liability in this regard. Accordingly, the planning or participation in any Session is at the Local Pal’s and/or Guest’s own risk.

c. Modification to the Services

JDpal reserves the right, at their sole discretion, to modify or discontinue, whether temporarily or permanently, the Services (or any part thereof) with or without notice. You agree that JDpal will not be liable to you or to any third party for any modification, suspension or discontinuance of the Services.

d. Local Pal’s Obligations

As a Local Pal, you will create a Profile that showcases your background, knowledge, experience, or activities you can lead, and the type of Session you can help Guests plan. Profiles will be made publicly available via the Services, and other Members may contact you based upon the information provided in your Profile. As a Local Pal, you acknowledge and agree that you are solely responsible for your Profile, own actions and omissions. You also acknowledge and agree that you are responsible for the actions and omissions of any individuals who are present during the Sessions at your request or invitation, excluding the Guests (and the individuals invited by the Guests to the Session, if applicable). You understand and agree that JDpal does not act as an insurer or as a contracting agent or in any similar capacity for you as a Local Pal. If a Guest requests your expertise for a Session and participates in your Session, any agreement you enter into with such Guest is between you and the Guest. You represent and warrant that your Profile and your planning of and/or guidance on any Session:

i. Will not breach any agreements you have entered into with any third parties (such as any agreements with or rules of employers or local tourism agencies)

ii. Will be in compliance with all applicable laws, tax requirements, and rules and regulations that may apply to such Sessions, including, but not limited to, tourism, tour guide licensing laws, and other law governing events and tours of public spaces and other venues, and

iii. Will not conflict with the rights of third parties.

Please note that JDpal assumes no responsibility for any Local Pal’sor Guest’s compliance with any applicable law, rules and regulations. JDpal reserves the right, at any time and without prior notice, to remove, block or disable access to any Profile for any reason, including Profiles that JDpal, in its sole discretion, considers to be objectionable for any reason, in violation of these Terms and Conditions or otherwise harmful to the Services.

JDpal strongly recommends that Local Pals and Guests each obtain appropriate insurance for their Sessions. Please carefully review any and all insurance policies that you may have before booking your Session; and in particular, please make sure that you familiarize yourself with and understand any exclusions to, and any deductibles that may apply for, such insurance policy. These may include, but are not limited to, whether your insurance policy will cover the actions or inactions of Guests (and the individuals invited by the Guest to the Session, if applicable) while participating in your Session.

e. No Endorsement

JDpal does not endorse any Sessions planned by Local Pals. Additionally, these Terms and Conditions require users to provide accurate information. We do not attempt to confirm, and do not confirm, any user’s purported identity. You are solely responsible for determining the identity and suitability of others who you connect to through the Services. We will not be responsible for any damage or harm resulting from your interaction with other users. By using the Services, you agree that any legal remedy or liability that you seek to obtain for actions or omissions of other users or other third parties will be limited to a claim against the particular user or other third parties who caused you harm. You also agree not to impose liability on, or seek any legal remedy from JDpal with respect to such actions or omissions. Accordingly, we encourage you to communicate directly with other users via the Services regarding any bookings or Sessions made by you.

4. Condition of Use

a. Local Pals – Bookings

i. As a Local Pal, if a Guest has an enquiry about your Profile, you must respond to each enquiry at your earliest convenience. If we do not receive a response within 24 hours of the enquiry issuance, you will be deemed uninterested in this booking and the Guest will be advised to choose another Local Pal. If a Guest requests to book you, you must confirm or reject the booking at your earliest convenience. If we do not receive a response from you regarding this booking request within 24 hours of the request issuance, the request will be cancelled.

ii. Contact information will be exchanged for both parties to start discussing the agenda. The Local Pal then proposes a Session agenda after which the Guest and the Local Pal should continue to communicate to finalize the agenda. Once the agenda is finalized, it must be sent to JDpal and the Local Pal will confirm the meeting point with the Guest.

iii. Local Pals are responsible for estimating and calculating the costs of the Session, and must inform the Guest of any booking information and liaise with the Guest on any items that may need advanced booking or arrangement.

iv. Local Pals must arrange payment with the Guests directly in person during the Session for any agendas that include a third-party. Local Pals and Guests need to be aware that JDpal is not liable for cancellation, payment, or any other issues relating to arrangement of third-party vendors for the Sessions.

v. Please note that JDpal does not currently charge for the creation of a Profile. However, you acknowledge and agree that JDpal, at its sole discretion, may charge you for and collect the fees for the creation of Profiles at a later time. JDpal will notify impacted users via email and updates to this Website prior to implementing these fees.

b. Guests – Bookings

i. Guests should contact JDpal at jdpal2016@gmail.com if they have questions about the Local Pals or any specific request of the Local Pal they would like to book. To make a booking, the Guest will select the details of the Session (date, time, duration, and persons). After confirmation by JDpal of the Local Pal’s availability and the acceptance of the booking request by the Local Pal, the booking will be confirmed. Please note that the Local Pal has 24 hours to accept a Guest’s booking request.

ii. After confirmation of the Session, contact information will be exchanged for both parties to start discussion of the agenda. The Local Pal then proposes a Session agenda after which the Guest and the Local Pal should continue to communicate to finalize the agenda. Once the agenda is finalized, the Guest will receive an email confirmation from JDpal with the finalized agenda for the Session and a confirmed meeting point to meet the Local Pal.

5. Cancellation

a. The Local Pal is only obliged to wait for 20 minutes after the scheduled start time of the Session. Certain Sessions may depend on factors outside either party’s control, such as weather. For the safety of our users, if a Typhoon Warning, Extremely Torrential Rain, or Tsunami Warning is in full effect during the start time of the Session or is expected to be issued any time during the Session by Taiwan’s Central Weather Bureau, the Session that would be held physically in the affected areas within Taiwan or its affiliated islands and waters should be cancelled and the Local Pal should notify the Guest and JDpal immediately. In the instance of a cancellation of the scheduled Session due to weather, the Local Pal and Guest should make their best effort to reschedule the Session. If there are any other outside factors that may cause a cancellation, the Local Pal or Guest should notify the Guest or Local Pal and JDpal immediately. The Local Pal and Guest should make their best efforts to reschedule the Session or exhaust all alternative means to carry out the Session.

b. Minimum Quality Standards, Local Pal Responsibilities, and Reimbursement to Guest

If you are a Local Pal, you are responsible for ensuring that the Session you provide each Guest meets minimum quality standards regarding adequacy of the description of the confirmed agenda, safety, health, and it does not present the Guest with reason for a refund request. Throughout the Session, Local Pals should try, in good faith, to resolve any issues that may arise.

c. General Provisions

i. No Assignment / No Insurance

This Refund Policy is not intended to constitute an offer to insure, does not constitute insurance or an insurance contract, does not take the place of insurance obtained or obtainable by the Guest, and the Guest has not paid any premium in respect of the Refund Policy. The benefits provided under this Refund Policy are not assignable or transferable by you.

ii. Modification or Termination

JDpal reserves the right, at its sole discretion, to modify or terminate this Refund Policy at any time and without prior notice. If JDpal modifies this Refund Policy, we will post the modification on this Website or provide you with notice of the modification and JDpal will continue to process all claims for refund requests made prior to the effective date of the modification.

iii. Entire Agreement and Definitions

This Refund Policy constitutes the entire and exclusive understanding and agreement between JDpal and you regarding the Refund Policy and supersedes and replaces any and all prior oral or written understandings or agreements between JDpal and you regarding the Refund Policy. Capitalized terms not otherwise defined herein shall have the meaning set forth in the JDpal Terms and Conditions. JDPAL HAS AGGREGATED LIABILITY ARISING OUT OF OR IN CONNECTION WITH THIS JDPAL POLICY TERMS. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES, SO THE ABOVE LIMITATION MAY NOT APPLY TO YOU. BY SUBMITTING A PROFILE OR BOOKING A SESSION OR OTHERWISE USING THE WEBSITE AND SERVICES AS A LOCAL PALOR GUEST, YOU ARE INDICATING THAT YOU HAVE ACKNOWLEDGED, READ, UNDERSTOOD AND AGREED TO BE BOUND BY THESE POLICY TERMS.

6. Limitation of Liability

JDPAL HAS NO LIABILITY ARISING OUT OF OR IN CONNECTION WITH THIS JDPAL TERMS AND CONDITIONS. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES, SO THE ABOVE LIMITATION MAY NOT APPLY TO YOU. BY SUBMITTING A PROFILE OR BOOKING A SESSION OR OTHERWISE USING THE SITE, SERVICES AS A LOCAL PAL OR GUEST, YOU ARE INDICATING THAT YOU HAVE ACKNOWLEDGED, READ, UNDERSTOOD AND AGREED TO BE BOUND BY THESE TERMS AND CONDITIONS.
IN NO EVENT WILL THIS WEBSITE, OUR HOLDING COMPANIES, SUBSIDIARIES, AFFILIATES, OFFICERS, DIRECTORS, REPRESENTATIVES, NOMINEES, AGENTS, DELEGATES AND/OR EMPLOYEES BE LIABLE FOR ANY LOSS OF PROFITS OR ANY DIRECT, INDIRECT, CONSEQUENTIAL, SPECIAL, INCIDENTAL, OR PUNITIVE DAMAGES ARISING OUT OF, BASED ON, IN CONNECTION WITH OR RESULTING FROM (A) THIS WEBSITE, (B) THESE TERMS AND CONDITIONS, (C) ANY BREACH OF THESE TERMS AND CONDITIONS BY YOU OR A THIRD PARTY, (D) USE OF THIS WEBSITE, TOOLS OR SERVICES WE PROVIDE RELATED TO THE BUSINESS WE OPERATE ON THIS WEBSITE BY YOU OR ANY THIRD PARTY AND/OR (E) ANY ACTUAL OR ATTEMPTED COMMUNICATION OR TRANSACTION BETWEEN USERS, IN EACH CASE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. 7. Interaction with Third-Parties

JDpal has no control over, and assumes no responsibility for any content, products, practices, options, etc. expressed on Third Party Websites. JDpal cannot and will not review, verify, or edit the content of any Third Party Website. By using and engaging in the Sessions, you relieve JDpal of any and all liability due to your use of Third Party Websites.

Your interaction with any organization and/or individuals found on the website, or through contact with the Local Pals, which include paying for and delivery of goods or services, and any conditions, warranties, and terms related to the arrangements, are solely between you and the organization and/or individuals.

You should investigate and review the interaction with third parties as you deem necessary and appropriate before making any online or offline transactions or before sharing any personal information.

You agree that JDpal will not be responsible or liable for any damage/loss related to your interactions with third party companies/individuals. If there is a dispute between users of this site, or between users and any third party, you understand that JDpal has no obligation to be involved. In the event that you have a dispute with one or more other users or third parties, you hereby release JDpal, its holding companies, subsidiaries, officers, directors, employees, agents, and successors in rights from claims, demands, and damages (actual and consequential) of every kind or nature, known or unknown, suspected or unsuspected, disclosed or undisclosed, arising out of or in any way related to such disputes.

8. Termination

The Terms and Conditions will remain in full force and effect during your use of this Website and the Services. JDpal, at its sole discretion, may suspend or terminate your access to the Services or your membership at any time, for any reason without any warning. JDpal may terminate and suspend any or all Services and any access to this Website without prior notice or liability, if you breach any of these Terms and Conditions.

Once your account has been terminated, you lose your right to use these Services, access this Website, and any Content may be immediately removed. All provisions of these Terms and Conditions, which should survive termination, shall survive termination, including, without limitation, ownership provisions, warranty disclaimers and limitations of liability.

If these Terms and Conditions are terminated for your breach, JDpal reserves the right to cancel any outstanding credit you may have prior to termination, without refund or liability to you.

9. Passports, Visa and Insurances

It is the responsibility for all Guests, regardless of their nationality and destination, to check with the consulate of their destination for current entry requirements.

Since health and visa requirements are subject to change without any notice, JDpal recommends that you verify the necessary visa and health requirements with the relevant consulate prior to arrival in the destination country.

JDpal highly recommends that you purchase a comprehensive travel insurance policy prior to arrival at your destination.

10. Website and Content

All content displayed on this Website (including, but not limited to text, data, graphics, articles, photographs, images, illustrations, video, audio and other materials) (the “Content”) are protected by copyright and/or other intellectual property rights. The Content and this Website are intended solely for your personal and non-commercial use of the Services and may only be used in accordance with these Terms and Conditions.

Your use of this Website implies your consent that the access to this Website and/or Content is non-exclusive, non-transferable and limited license to access this Website in accordance with our Terms and Conditions. JDpal may, at our sole discretion, and without prior notice to you, amend and remove the content, or change the presentation of this Website.

You shall agree with all copyright notices, trademark rules, information, and restrictions contained in this Website and the Content accessed through this Website. You may not use, copy, reproduce, modify, translate, publish, broadcast, transmit, distribute, perform, upload, display, license, sell or otherwise exploit for any purposes any part of this Website or the Content or third party submissions or other proprietary rights not owned by you without prior written consent of the respective owners, or in any way violate any third party rights.

Ownership of the Content depends on who generated the Content. Any Content that is created by JDpal and/or any of its employees, is owned by JDpal. Content that is created by you is owned by you. Although the Content created by you is owned by you, JDpal reserves the right to use any content in any way we see fit, including, but not limited to publicly displaying it, reformatting it, incorporating it into advertisements and other works, creating derivatives from it, promoting it, distributing it. As such, you hereby permanently grant us worldwide, perpetual, non-exclusive, royalty-free, assignable, sub-licensable, transferable rights to use your Content for any purpose. Please note that you also permanently grant the users of this Website and any other media the right to access your Content in connection with their use of this Website and any other media.
